Terms of Service

1. Introduction & acceptance
These Terms of Service ("Terms") govern the use of the Fintower AI-powered financial planning and analysis (FP&A) SaaS platform ("Service") provided by Fintower AB, a Swedish limited company with organization number 559468-3913, located at Masthamnsgatan 21, 413 29 Göteborg, Sweden ("Fintower," "we," "us," or "our").
By accessing, registering for, or using the Service, you ("Customer," "you," or "your") accept and agree to be bound by these Terms. If you do not agree to all terms and conditions herein, you may not access or use the Service. If you are accessing the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Definitions
- "Customer" means the entity or individual that has entered into an agreement with Fintower to use the Service.
- "User" means any individual authorized by the Customer to access and use the Service on the Customer's behalf.
- "Service" means the Fintower SaaS platform, including all features, functionality, documentation, and support services provided by Fintower.
- "Customer Data" means all data, information, and content provided by, uploaded by, or generated by the Customer or its Users within the Service.
- "Tenant Data" means the logical isolation of Customer Data within the Service infrastructure, ensuring separation from other customers' data.
- "Sub-processor" means any third party engaged by Fintower to process, store, or assist in the provision of the Service on behalf of the Customer.
- "DPA" means the Data Processing Agreement executed between Fintower and the Customer.
- "Privacy Policy" means Fintower's privacy policy, which describes how Fintower processes personal data in connection with the Service.
- "Affiliate" means any entity directly or indirectly controlling, controlled by, or under common control with Fintower.
3. The Service
3.1 Licence grant
Fintower grants the Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the subscription term, solely for the Customer's own business purposes and in accordance with these Terms. The Customer may not sublicense, resell, lease, rent, or otherwise transfer the Service to third parties without Fintower's prior written consent.
3.2 Account registration and security
To use the Service, the Customer must register an account and provide accurate, complete, and current information. The Customer is responsible for maintaining the confidentiality of login credentials and for all activities that occur under the Customer's account. Fintower reserves the right to suspend or terminate access if the Customer fails to maintain accurate information or violates these Terms.
3.3 Sub-contractors
Fintower engages sub-processors to deliver the Service. A comprehensive list of all sub-processors is maintained in Schedule 1 of the DPA. Fintower will notify the Customer of any material changes to the sub-processor list in accordance with the DPA.
4. Customer obligations
The Customer agrees to use the Service only for lawful purposes and in compliance with applicable laws and these Terms. The Customer shall not reverse engineer, decompile, or attempt to gain unauthorized access to the Service or its infrastructure. The Customer is responsible for ensuring all Users comply with these Terms.
5. Fees and payment
5.1 Subscription fees and invoicing
The Customer agrees to pay the subscription fees as specified in the applicable subscription plan. Invoices are issued per the agreed billing cycle (typically annual). Payment terms are net 30 days. All fees are exclusive of applicable VAT.
5.2 Price changes
Fintower may adjust subscription fees upon renewal with at least 30 days' written notice. The Customer may cancel if the new pricing is not accepted.
5.3 Late payment
Fintower may charge interest on overdue amounts per the Swedish Interest Act and may suspend access if payment remains outstanding for more than 15 days after the due date.
6. Intellectual property
6.1 Fintower's intellectual property
Fintower retains all right, title, and interest in the Service. Feedback provided by the Customer may be used by Fintower to improve the Service without obligation or compensation.
6.2 Customer's intellectual property
The Customer retains all rights in Customer Data. By providing Customer Data to Fintower, the Customer grants Fintower a limited license to process and store such data solely to provide the Service.
7. Data & privacy
Both parties acknowledge their obligations under GDPR. Fintower processes Customer Data as a data processor on behalf of the Customer as data controller, governed by the DPA. For details on personal data processing, refer to the Privacy Policy.
8. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information, limiting access to those with a legitimate need to know. Confidentiality obligations do not apply to information that is publicly available, lawfully received from a third party, independently developed, or required to be disclosed by law.
9. Customer data & AI
9.1 Processing of Customer Data
Fintower processes Customer Data solely to provide the Service as described in the subscription plan.
9.2 Data isolation
Customer Data is logically isolated within the Service infrastructure with technical and organizational measures ensuring segregation from other customers' data.
9.3 No AI training or model improvement
Fintower shall not use Customer Data to train, fine-tune, improve, or develop any AI or machine learning model. AI features operate exclusively on the Customer's own data within the Customer's isolated tenant environment.
9.4 Aggregated and anonymised data
Fintower may use aggregated, anonymised, non-identifiable statistical data derived from Service usage to improve performance and develop new features, provided such data cannot identify any individual Customer or User.
10. Availability and support
10.1 Target availability
Fintower targets 99.5% uptime for the Service, measured monthly, excluding scheduled maintenance. This is a service level objective and not a guarantee. Unplanned downtime may occur due to infrastructure issues, security incidents, or force majeure events.
10.2 Planned maintenance
Fintower will notify the Customer of scheduled maintenance windows at least 48 hours in advance, whenever reasonably practicable.
10.3 Support
Fintower provides support via email (support@fintower.se) and in-app channels. Support hours are weekdays 09:00–17:00 CET, excluding Swedish public holidays. Response time commitments are specified in the subscription plan documentation.
11. Limitation of liability
Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages. Aggregate liability is capped at the fees paid in the 12 months preceding the claim. These limitations do not apply to fraud, willful misconduct, gross negligence, breach of data protection obligations, or IP infringement.
12. Indemnification
The Customer shall indemnify Fintower against claims arising from the Customer's breach of these Terms, misuse of the Service, or Customer Data. This obligation does not apply to claims arising solely from Fintower's negligence or breach of these Terms.
13. Term and termination
The subscription term begins on the effective date and renews automatically unless either party provides 30 days' written notice. Either party may terminate for material breach if uncured within 30 days of notice. Upon termination, the Customer has 30 days to export Customer Data, after which it will be permanently deleted.
14. Governing law and jurisdiction
These Terms are governed by Swedish law. Disputes shall be subject to the exclusive jurisdiction of the District Court of Gothenburg (Göteborgs tingsrätt).
15. General
These Terms, together with the DPA, Privacy Policy, and any order form, constitute the entire agreement. If any provision is found invalid, the remaining provisions continue in full force. Fintower may amend these Terms with 30 days' written notice. The Customer may not assign these Terms without Fintower's prior written consent.
