Agency Terms

This is a translation of the Swedish original, Byråvillkor. If the two differ, the Swedish original governs.
These terms apply to accounting and advisory firms (the "Agency") that use Fintower for their clients, as a complement to the Terms of Service. Where the Terms of Service say "the Customer", the Agency is meant. Prices and standard levels are set out in the Agency Price List.
1. Definitions
- "Client": a company the Agency has an engagement for and sets up in the Service. Each Client gets its own separate environment.
- "Company": a legal entity whose data is connected.
- "Integration": a connection between a Company and an external system, such as an accounting system, a bank or a CRM, from which the Service fetches data. File imports do not count as Integrations.
- "Package": Routine or Advisory, per Client.
- "Consultant": an Agency user who has been assigned Clients. The Agency's Owners and Admins count as Consultants in the Clients' environments.
- "Reader": a Client user who reads, downloads and requests additions.
- "Participant": a Client user who in addition uses AI features, builds in the Client's own spaces, fills in values in the Agency's models, creates routines and shares their own pages.
- "Agency Spaces": spaces, pages, models, templates and Integrations that the Agency has created or connected in the Client's environment, marked as the Agency's.
- "Private": spaces and pages that a user at the Client has marked as private.
- "Credits": the unit of AI usage under the Terms of Service.
- "Provider": Fintower AB, called "Fintower" in the Terms of Service.
- "Agency Agreement": the agreement the Agency signs with the Provider, which refers to these terms and lists any deviations from them.
- "Party": the Agency or the Provider.
- "Agreement Start": the day both Parties have signed the Agency Agreement.
- "Price Period": the twelve months from the Agreement Start during which the attached Agency Price List applies, and each following twelve-month period.
2. The Agency's account and the Packages
The Agency has a portfolio and sets up, changes the Package of, and removes Clients itself, with no commitment as to number or time. The Agency's own Companies sit in the Agency's own environment at the Advisory level at no cost.
Routine is for Clients where the Agency handles everything and nobody at the Client logs in. It includes one Integration (the Client's accounting system, no other Integrations), the Agency's template and an automatic monthly report to recipients the Agency specifies. No AI features, no users at the Client. For as long as the monthly report and the template are not available in the Service, Routine Companies are not charged; the Provider will announce when they are.
Advisory is for Clients where the Agency works in the Service, alone or together with the Client. Per Company, the number of Integrations stated in the Agency Price List, the Service's standard functionality, AI features for Consultants and Participants within section 5, and an unlimited number of Readers are included. Participants, additional Integrations, hourly synchronisation and models are added for a fee under the Agency Price List.
3. The Agency's control and visibility
Agency Spaces are locked for the Client: the Client's users can read and download them and, as Participants, use AI features and fill in values in the Agency's models, but cannot change, configure or share them. Consultants have administrator permissions in the Clients they are assigned to and see everything in the Client's environment except what is Private. The Agency can see the Service as a selected user at the Client sees it, read-only. The Agency's and the Provider's access to the Client's environment is logged per person in the Client's access history, which the Client's users can read.
4. Pricing and metering
Prices and standard levels are set out in the Agency Price List, in Swedish kronor excluding VAT, per unit and month. The Service meters every night, per Client: Companies per Package, Participants, Integrations beyond those included, Companies with hourly synchronisation and Companies with a shared model. Each item is charged for the days it was present at one thirtieth (1/30) of the monthly price per day. Readers and the Agency's staff are never charged. Volume discounts are given under the Agency Price List as a marginal scale on Advisory Companies; a first-year discount, if agreed, replaces the scale during its period. The list price is not changed by discounts and is stated on the invoice.
The Agency Price List applies for twelve (12) months from the Agreement Start (the "Price Period"). Ahead of a new Price Period the Provider may move to the Agency Price List then in force, adjusted by no more than the change in Statistics Sweden's labour cost index for salaried employees (LCI, preliminary index, SNI 2007 section J) since the Agreement Start or the latest adjustment. Prices are not reduced if the index has fallen. The change is announced three (3) months in advance. This replaces the Terms of Service's provision on price changes.
5. Credits
The Agency has a shared balance. Credits included per month are stated in the Agency Price List or the Agency Agreement; unused credits are not carried over. Each Advisory Client has a monthly cap that the Agency sets; without a setting, twice the even share applies. At the cap, the AI features are stopped for that Client until the Agency raises the cap or the month changes. Routine Clients consume no credits. When the balance runs out, what the Agency has chosen applies: stop, or automatic top-up under the Agency Price List. The Provider warns at 80 percent. Reports and routines without AI are never affected. Consumption is reported per Client on the invoice.
6. Term, invoicing and suspension
The agreement applies until further notice with three (3) months' notice of termination for each Party, unless otherwise agreed. The Agency can remove Clients at any time; charging stops the next day. This replaces the Terms of Service's notice period.
Invoicing is monthly in arrears with one line per item, list price and discount visible, and a specification per Client. Payment within thirty (30) days. When an invoice is overdue, a reminder is shown in the Service to the Agency's Owners, Admins and Consultants stating when suspension will occur. If the invoice is unpaid fourteen (14) days after the due date, the Provider may suspend the Agency's and the Clients' access until payment is made. The Client's own users do not see the reminder. Suspension is not deletion: data remains, the Agency can request an export, and the Provider's obligations under the Data Processing Agreement apply in full during the suspension. Late-payment interest and reminder fee under the Terms of Service.
7. The Clients
The Agency may only set up Companies that the Agency has an engagement for, is responsible for its Consultants' and the Clients' users' use as for its own, and ensures that each Client has approved the Agency using the Service for the engagement and has been informed of the Agency's visibility, that the Agency Spaces are locked, and of the Provider's role under the Agency Addendum. The Client's users accept the Terms of Service at first login for their own use; the Client does not become a party to the Agency Agreement and has no payment obligation towards the Provider.
Everything created in the Client's environment belongs to the Client, except the Agency's templates, which belong to the Agency. During the engagement the Agency has the use of the Client's environment within the engagement. Private is not accessible to the Agency or the Provider except where the Terms of Service or law require it.
Consultants add Participants, Integrations, Companies, hourly synchronisation and models directly; the Client's users can request them in the Service and they are activated when a Consultant approves. Everything is charged to the Agency under the Agency Price List from the day of activation.
When the engagement ends. The Agency removes the Client from the portfolio or notifies the Provider and is charged up to and including that day. The Client then has thirty (30) days, the same period as the export window in the Data Processing Agreement, to take over the account as its own customer at the Provider's list price on the website. During the period the environment is kept read-only at no charge, and the Client's users can log in, read and export. If the Client takes over, the environment is kept in its entirety; the Agency's templates do not come along, and the Agency's other spaces pass to the Client with their content. The Agency does not oppose a takeover that the Client requests and confirms on request that the engagement has ended. If the Client wants to move to another agency in the Service, the Provider cooperates on the same terms. If nobody takes over, the environment is deleted at the end of the period.
An existing customer that wants to come in under the Agency. This can happen when the Client, the Agency and the Provider agree and the Agency has an engagement for the Client. The Client's own agreement is terminated without refund, the Client's owners and administrators become Participants, and the Agency is charged from the day of the move.
8. Personal data
For the Agency's own environment, the Agency is the controller and the Provider the processor under the Data Processing Agreement. For a Client's environment, the Client is the controller, the Agency a processor for the Client and the Provider a sub-processor for the Agency, under the Agency Addendum to the Data Processing Agreement. The Provider does not use the Agency's or the Clients' data to train or improve AI models and ensures that the same applies to sub-processors.
9. Support
As under the Terms of Service, directed to the Agency. The Clients' users turn to the Agency, which may forward. The Provider's support access to a Client's environment is approved by the Agency and logged in the Client's access history.
